The terms that govern your use of this website and Indie & Co.'s services.
Acceptance of Terms
By using this website or engaging Indie & Cooperatives ("Indie & Co.", "we", "us", "our") for any service, you agree to these Terms & Conditions. If you don't agree with any part of these terms, please don't use this site or our services. Specific engagements (e.g. a signed proposal, quote, or the Digital Acceleration Grant terms) may include additional terms specific to that project, which take precedence over this general page where they conflict.
Our Services
Indie & Co. provides website design and development, local SEO, paid media (PPC and paid social), content marketing, branding, and related digital marketing services, as described on our Services page. Exact deliverables, timelines, and scope for any paid engagement are confirmed in writing (email or a signed proposal/quote) before work begins.
We aim to deliver work that matches the scope agreed at the outset. Requests that fall outside that agreed scope (additional pages, extra revision rounds beyond what was quoted, new features) may be quoted separately.
Quotes, Grants & Pricing
Package pricing shown on our Pricing page is indicative and may vary based on your specific requirements — final pricing is confirmed in a written quote. The Digital Acceleration Grant is a limited, selective offer for qualifying established businesses, subject to eligibility review; it covers build costs only, and standard infrastructure fees apply after the complimentary period described on that page.
Where a project involves ongoing services (hosting, maintenance, SEO or ad management retainers), fees are billed on the schedule agreed in your quote, and continued service is conditional on payment being kept current.
Client Responsibilities
To deliver your project on time and to a high standard, we ask that you:
- Provide accurate business information, content, and assets (logos, images, copy) that you have the rights to use;
- Respond to requests for feedback, approvals, and content within a reasonable time;
- Keep any login credentials we provide for your website or portal secure and confidential;
- Ensure any third-party accounts you ask us to use on your behalf (domain registrar, ad accounts, Google Business Profile) are accessible to us for the duration of the engagement.
Delays in providing content, feedback, or access may delay project timelines correspondingly.
Intellectual Property
Upon full payment for a completed website or deliverable, ownership of the final, delivered work product transfers to you, except for: (a) any third-party assets licensed rather than owned outright (stock photography, fonts, plugins/themes) which remain subject to their original licence terms; and (b) our own general methodologies, templates, and know-how, which we retain the right to reuse on other projects. Until full payment is received, all work remains the intellectual property of Indie & Co.
We may showcase completed projects (name, screenshots, live link) in our portfolio and marketing materials unless you ask us in writing not to.
Referral Partner Programme
Participation in our Referral Partner Programme is subject to approval and the commission structure described on our Partner Programme page, which may be updated from time to time. Commissions are confirmed and payable only once a referred client has completed any applicable trial/complimentary period and becomes a paying, active client. We reserve the right to decline or remove partners for fraudulent, misleading, or abusive referral activity.
Limitation of Liability
We deliver our services with reasonable skill and care, but digital marketing outcomes (search rankings, ad performance, traffic, leads) depend on many factors outside our direct control, including competitor activity, platform algorithm changes, and market conditions — we don't guarantee specific rankings, traffic, or revenue results. To the fullest extent permitted by law, Indie & Co. is not liable for indirect, incidental, or consequential losses arising from use of our website or services. Nothing in these terms limits liability that cannot lawfully be limited under Trinidad & Tobago law.
Service Availability
We aim to keep this website and the Business Portal available at all times, but don't guarantee uninterrupted access — third-party infrastructure (hosting, Firebase) can experience outages outside our control. We're not liable for losses arising from temporary unavailability of the site or portal.
Third-Party Links
Our site may link to third-party websites (client sites in our portfolio, social platforms, WhatsApp). We don't control and aren't responsible for the content, availability, or privacy practices of those external sites.
Governing Law
These Terms & Conditions are governed by the laws of Trinidad and Tobago. Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the courts of Trinidad and Tobago.
Changes to These Terms
We may update these Terms & Conditions from time to time. The "Last updated" date above reflects the most recent revision. Continued use of our website or services after changes are posted means you accept the updated terms.
